Terms of Service.

Version v1.0, effective 24 October 2026.

These Terms are between With ADI, Inc., a Delaware corporation (ADI, or we), and the business that holds an ADI Enterprise licence (you), whether you buy it from ADI directly or through an ADI partner.

Who sells you the licence

ADI grants the licence in every case. Who sells it to you depends on where you buy it.

If you buy through an ADI partner, the partner sells you the licence and is the merchant of record. The partner's own terms with you govern the price, invoicing, taxes, cancellation and refunds, and the partner handles your billing, refunds and any payment dispute. You pay on the partner's own Stripe account. ADI's platform processes that payment and collects ADI's licence fee from it. Anything the partner does for you itself, such as installation, configuration or its own support, is also under your contract with the partner.

If you buy directly from ADI, ADI sells you the licence, and the section on buying directly from ADI sets out the price, billing, cancellation and refunds.

Whoever sells it, these Terms govern the licence itself: what it covers, the support ADI gives, sanctions and acceptable use, the warranty disclaimer and the limit of liability, and the law that applies.

What you buy

An ADI Enterprise licence is the commercial licence that ADI's licence file asks for once your use goes beyond what it allows free of charge. It is sold per instance. An instance is one deployment: one control plane with one production state store. One instance carries unlimited users and unlimited machines.

Using ADI where its licence allows that free of charge needs no Enterprise licence, and nothing in these Terms changes it.

If you buy directly from ADI

This section applies when ADI itself sells you the licence. If you bought through an ADI partner, your partner's terms take its place.

Price

$3,000 per instance per year. The price is linear up to ten instances, so ten cost $30,000 a year. Eleven or more are quoted privately: write to sales@withadi.dev.

Prices exclude taxes. You pay any taxes that apply to your purchase.

Your rate does not rise. At renewal, your per-instance rate stays where it is or falls; it is never higher than the rate you paid before.

Billing and renewal

The licence is a yearly subscription, charged in advance through Stripe. It renews automatically each year until it is cancelled.

Cancellation and refunds

To cancel, write to info@withadi.dev. Cancellation takes effect once we have verified the request. ADI then cancels the subscription and deactivates the licence.

When you cancel, you may receive a refund of the unused licence charges, less a $300 issuance fee, and never less than zero. The unused charges are prorated over the full UTC days left in the paid year after the licence is deactivated.

Where mandatory consumer or customer protection law gives you more than this, that law prevails.

Support

Support is a response within three business days to email at info@withadi.dev. Nothing more is promised: there is no service level agreement beyond that response, no setup service and no onboarding. The support page says what to send.

The software

ADI is licensed under its own licence, the file published with its source at github.com/adi-family/mono. It is proprietary and source-available. That licence says how the software may be used; these Terms cover the purchase of the commercial licence.

Sanctions

ADI does not sell to, and does not allow use by, a sanctioned party, or anyone located, organised or ordinarily resident in, or owned or controlled from, Cuba, Iran, North Korea, Syria, Russia, Belarus, the occupied Crimea, Donetsk, Luhansk, Zaporizhzhia or Kherson regions of Ukraine, or another comprehensively sanctioned country or region. By buying a licence you confirm that none of this applies to you, and you will not use ADI there or give a sanctioned party access to it.

Warranty and liability

Beyond the support response above, the software is provided as is, without any other warranty.

ADI's total liability to you is capped at the fees paid for your licence in the 12 months before the claim. ADI is not liable for indirect loss or lost profits, except where the law does not allow that exclusion.

Governing law and changes

These Terms are governed by the law of the State of Delaware, USA.

ADI may update these Terms with notice. This page always shows the version in force and the date it took effect.

How ADI handles data is set out in the privacy policy.

Contact

Questions about these Terms, billing or cancelling to info@withadi.dev. If you bought through an ADI partner, billing, cancelling and refunds are the partner's to handle, so write to the partner about those.
